This agreement is made between RightWay NetWorking LLC and the undersigned Resort/Hotel/Community for a supply of Information Guides.
Quantity of Free 8.5 x 11 Resort/Hotel/Community Guides:
Each Resort/Hotel/Community shall: (1) accept delivery of each shipment of Information Guides from RightWay NetWorking LLC; and (2) distribute one of the Information Guides to each individual or couple, who, in good faith is deemed by the Resort/Hotel/Community to be a prospective customer. Resort/Hotel/Community shall use most recent supply of Information Guides furnished by RightWay NetWorking LLC during the term of this agreement.
As sole consideration of the promises herein made by the Resort/Hotel, RightWay NetWorking LLC agrees to furnish custom designed Information Guides at no cost whatsoever to the Resort/Hotel, which shall contain sponsor’s messages of reasonable amounts to satisfy the needs of RightWay NetWorking LLC. During the term of this agreement, RightWay NetWorking LLC in its sole discretion may replace existing sponsors with others, containing different sponsor’s messages on an annual basis. RightWay NetWorking LLC may also replace style of guide with Resort/Hotel/Community approval.
RightWay NetWorking LLC does routinely screen sponsors and will not sell or place any sponsor that is questionable on moral or ethical grounds. By stating objections to types of business or specific business herein, the Resort/Hotel/Community is exercising their right of approval.
All parties in this agreement will act in good faith towards the other. Any effort by the Resort/Hotel, agents or personnel to negatively affect the ability of RightWay NetWorking LLC to make sales to sponsors will be constructed as a breech in contract giving rise to consequential damages.
The initial term of this agreement is for one (1) year. Either party must give written notice of termination of this agreement at least ninety (90) days prior to the yearly anniversary. This agreement automatically renews on the yearly anniversary without notice. In the event suit or action is instituted to enforce this agreement or any of its provisions, the prevailing party shall be entitled to recover reasonable attorney fees and costs in all courts at trial and appeal. County of Harris, State of Texas shall have jurisdiction.
This agreement is complete in itself. It contains all of the terms of the agreement and neither party will rely on any verbal representations, either expressed or implied, not contained or expressed herein. This agreement shall not be modified except by written agreement by RightWay NetWorking LLC and the undersigned Resort/Hotel/Community.
This agreement shall be binding upon the heirs, successors and assigns of both parties and must be included in any bill of sale.
